Terms & Conditions
1. ACCEPTANCE OF TERMS
These Terms & Conditions govern access to and use of the MIS for M-Pesa Agents platform. By activating, accessing, or using the platform, the Dealer confirms that they have read, understood, and accepted these Terms & Conditions.
2. PLATFORM SERVICES
The platform provides operational and management services including:
- Principal Dealer Profile (PDP)
- Float Resources Management (FRM)
- Loan Management System (LMS)
- Agent performance analytics
- Subscription billing and account management
- Reporting and operational monitoring
Access to services is determined by the Dealer's subscribed package.
3. DEALER ACCOUNT RESPONSIBILITY
The Dealer is responsible for:
- Maintaining confidentiality of account credentials
- Managing authorized users under the dealer profile
- Ensuring all information provided is accurate and current
- All activities conducted under the dealer account
Management reserves the right to suspend or restrict access where unauthorized use, misuse, fraud, or security compromise is detected.
4. SUBSCRIPTION & BILLING
Platform access is subscription-based. Subscription charges are determined by:
- Package Type
- Billable Agents
- Applicable VAT
Billing is automated and processed according to the configured billing cycle. Payments are made through the approved payment channels configured by Management. Failure to maintain active subscription status may result in restricted or disconnected access.
5. AGENT LIMIT & BILLABLE AGENTS
The platform distinguishes between:
- Agent Limit
- Billable Agents
Agent Limit defines the maximum number of agents the Dealer may create within the system. Billable Agents define the number of agents authorized to access subscribed platform services, including:
- Agent App and Web Portal access
- Weekly performance updates
- FRM and LMS services
The Dealer is responsible for selecting and managing service-enabled agents within the allocated Billable Agent limit.
6. DATA PROCESSING & REPORTING
The platform processes uploaded dealer data for operational reporting, analytics, monitoring, and system-generated insights. The Dealer confirms that all uploaded data is lawfully obtained, accurate, and authorized for processing.
7. KYC & COMPLIANCE
The Dealer shall provide and maintain valid compliance documentation, including:
- Registration Certificate
- Sender ID Letter
Management reserves the right to request updated compliance documentation where necessary.
8. COMMUNICATIONS
Management may issue:
- Billing reminders
- Service notifications
- System alerts
- Subscription notices
- Operational updates
through SMS, email, or in-platform communication channels.
9. LIABILITY
The Dealer acknowledges that agents created under the dealer account operate under the Dealer's authority and responsibility. Management shall not be liable for:
- Fraudulent activities conducted by dealer-managed agents
- Unauthorized transactions performed under dealer-managed operations
- Incorrect dealer-uploaded data
- Third-party service interruptions or API failures
- Unauthorized access arising from dealer negligence
10. SUSPENSION & TERMINATION
Management reserves the right to suspend, restrict, or terminate platform access where:
- Subscription obligations remain unpaid
- Fraudulent or unlawful activity is detected
- Platform misuse occurs
- Regulatory or compliance requirements are breached
11. GOVERNING ACCEPTANCE
By activating the dealer account and continuing to use the platform, the Dealer confirms:
- Acceptance of these Terms & Conditions
- Acceptance of the Dealer Agreement
- Authority to act on behalf of the registered organization
- Responsibility for all activities conducted under the dealer account
